THE WORK SESSION BEGAN AT 8:50 PM.

DISCUSSION AND REVIEW OF CONSOLIDATED, AMENDED AND RESTATED ANNEXATION AND DEVELOPMENT AGREEMENT

The following representatives present:

Town Attorney, Eric Heil, summarized that the Avon Town Council has provided clear direction that the
documents should clearly implement only the settlement term sheet. It was noted that the public
hearing on the PUD Guide would occur September 11, 2012. Numerous topics and sections of the
CARADA were addressed. It was noted that from the town's perspective, the documents must remain
consistent with the settlement term sheet.

When will town produce the next round of changes for the CARADA and the ancillary documents.
The meeting schedule was reviewed as follows:
9/11/12: PUD Guide review, School District presentation, developer presentation.
It was noted that some of the ancillary documents are not completed until the 2 main documents are
finalized. There was concern expressed about needing to review documents that have not yet been
produced.
