This letter confirms our understanding regarding legal services to be provided to the Avon Urban
Renewal Authority ("AURA") as special counsel commencing as of the date of this letter.
Services to be rendered involve urban renewal matters and may include, without limitation,
preparation and negotiation of redevelopment agreements and related documents; review of
development and funding proposals; attendance at meetings; telephone conferences; tax increment
questions; eligible costs; review ofplan and related documents; and any other matters agreed to by the
parties. This agreement is not intended to cover certain specialized services such as bond counsel.
My fees are $250.00 per hour. All services will be provided by me. The time to be charged will be
recorded and billed in one/tenth hour increments. In addition, I will be reimbursed for actual costs of
such items as unusual postage or delivery charges and courier fees, but not for routine items such as
postage, copies, auto mileage and expenses. All fees and expenses will be paid monthly upon
submission of an itemized statement. Fees charged shall not exceed $5,000 unless authorized in
writing by you or other authorized AURA official.
This agreement may be terminated at any time by either party upon written notice. If the agreement
is terminated, I will be paid the stated hourly fees for services rendered through the date of receipt of
the termination notice and any fees required for an orderly transfer of work -in -progress, including
reimbursement for costs incurred. If I withdraw from this agreement, I will allow a reasonable time
for employment of new counsel, if necessary, and will deliver to you all papers and other property to
which you are entitled.
