THIS AMENDMENT ("Amendment") to the 2016 AVON CREATIVE WRITING FESTIVAL AGREEMENT, originally dated
January 15, 2o16 ("Agreement"), made and entered into the 8th day of February, 2o16; and subsequently amended
on August 17, 2o16 by and between the Town of Avon ("AVON"), a home rule municipality of the State of Colorado,
with its principal offices at One Lake Street, Avon, Colorado, 8162o and DONAHUE ENTERTAINMENT, LLC,
hereinafter referred to as "DONAHUE ENT", a Tennessee Limited Liability Company with its principal offices at 2020
Fieldstone Parkway, Suite 900-311 Franklin,TN 37o6g.
AMENDMENT
Pursuant to the above referenced request to postpone the FESTIVAL, DONAHUE ENT and AVON, on a phone call on
January 27th, 2017, mutually agreed to a new date for FESTIVAL (August 18-19, 2017) and a new program theme as
described in Attachment A. AVON accepts the date change and program modifications subject to the
understanding of the terms set forth.
1. AVON has provided $75,000.00 to DONAHUE ENT for production of the FESTIVAL in accordance with Section 5.1
of the Agreement whereby AVON and DONAHUE ENT have mutually agreed upon the anchor and ancillary
talent. AVON and DONAHUE ENT LLC agree that any change to the anchor and ancillary talent shall be subject to
review and written approval by AVON, which AVON shall not unreasonably withhold provided that any changed
talent is of comparable quality and notoriety.
2. AVON and DONAHUE ENT shall mutually agree to the new FESTIVAL dates of August 18 and 19, 2017.. All
relevant dates in the Agreement (ATTACHMENT B— FESTIVAL AGREEMENT) AVON and DONAHUE ENT shall
mutually update in writing all dates in the Agreement for the FESTIVAL.
3. All other terms of the Agreement shall remain in full force and effect, including but not limited to provisions
concerning insurance and indemnification.
