CLOSING MEMORANDUM
The closing relating to the above - captioned Bonds (the "Bonds ") is scheduled for
9:00 a.m., local time, on December 2, 2013, at the offices of Sherman & Howard L.L.C., Denver,
Colorado. The preclosing is scheduled at the same location at 10:00 a.m., local time, on
November 27, 2013.
All transactions at the closing will be deemed to have taken place simultaneously
and no transaction will be deemed to have been completed and no document will be deemed to
have been delivered unless and until all transactions are completed and all documents delivered.
Seven counterparts of the transcript will be prepared to be distributed as follows:
the Authority; the Town of Avon (the "Town "); Piper Jaffray & Co. (the "Placement Agent ");
Branch Bank and Trust Company; UMB Bank, n.a.; Kline Alvarado Veio, P.C.; and Sherman &
Howard L.L.C.
