01-01-2014 Gallegos Parking License AgreementRevocable Parking License Agreement This Parking License Agreement ( "Agreement ") is made by and between the Town of Avon ( "Town "), a Colorado home rule municipality, and Gallegos Corporation ( "Gallegos"), located at 0100 Yacht Club Drive, Wolcott, CO 81655, on December 19, 2013. 1. Town hereby grants a revocable license to Gallegos to use four (4) vehicle parking spaces at the Avon Recreation Centel, 90 Lake Street, Avon, CO according to the terms and conditions contained in this Agreement. The parking spaces are located as depicted in the parking diagram attached hereto. During the term of this Agreement, Gallegos shall have the exclusive right to the use the four (4) vehicle parking spaces on Monday through Friday of .each week, from the hours of 6:00 a.m. to 6:00 p.m. This Agreement shall commence on January 1, 2014 and shall terminate on December 31, 2014 unless earlier revoked by the Town or terminated by either party. Town shall provide four (4) parking permits which shall be visibly displayed on the dashboard or rearview mirror of each vehicle at all times while using the licensed parking spaces. 2. Gallegos shall pay $10 per parking space per day which amount shall be due and payable as a monthly lump sum payment in advance due on the 1St day of the month as follows: January = $920; February = $800; March = $840; April = $880; May = $880; June = $840; July = $920; August = $840; September = $880; October = $920; November = $800; and December = $920. 3. Gallegos may use the licensed parking area for vehicle parking only and shall not store or place any other items or materials in the licensed parking area. 4. Gallegos expressly agrees to, and shall, indemnify and hold harmless the Town and any of its Officers, agents, or employees from any and all claims, damages, liability, or court awards, including costs and attorney's fee that are or may be awarded as a result of any loss, injury or damage sustained or claimed to have been sustained by anyone, including but not limited to, any person, firm, partnership, or corporation, in connection with or arising out of any omission or act of commission by Gallegos or any of its employees, agents, partners, or lessees, in using the licensed Town parking spaces. This provision shall survive any termination or revocation of this Agreement. 5. Gallegos shall procure and maintain, at its own cost, a policy or policies of insurance protecting against injury, damage or loss occurring related to use of the licenses parking spaces in the minimum amount of $600,000.00 per occurrence. Such policy or policies shall name the Town as an "additional insured ". However, Gallegos' failure to take such steps to insure the premises shall not waive, affect, or impair any obligation of Gallegos to indemnify or hold the Town harmless in accordance with this Agreement. 6. Gallegos shall not assign this Agreement or the parking permits and license privileges provided by this Agreement to any other party and any such assignment shall be void. 7. Town may revoke this Parking License Agreement, with or without cause, by providing thirty (30) days advance notice in writing or by e -mail transmission. Town may revoke and terminate this Parking License Agreement at any time for failure of Gallegos to pay or for default by Gallegos of any terms and conditions contained herein.
