The Counties new space in the Avon Center should be complete by early February. At which time
we will move the County Nurse office.
The current lease has expired and has been handled as a month to month lease for the last two
years. During this time the County has continued quarterly lease payments. With the office move
planned for early February, how do you want the termination of this lease agreement? As a
suggestion, the County would pay for January and prorate out February. Please let me know
what you think.

RE: COUNTY NURSE SPACE
The County currently utilizes space in the Municipal Building
for their Health Care Services. The space is approximately 400
square feet. The County has used this space since 1984.
We are now in dire need of the space for storage and a work room.
The need has been brought on by the addition of a Public Relations
position and expansion of our needs over the last eight years. We
would like to notify the County that effective January 1, 1993 the
space will no longer be available. The contract calls for ninety
days notice, but we want to give them plenty of time to relocate.
Attached is a copy of the lease.
INTERGOVERNMENTAL LEASE
THIS INTERGOVERNMENTAL LEASE, made as of and effective
the 15th day of July , 1984, between THE TOWN OF
AVON, a municipal corporation, hereinafter referred to as "Avon"
or the "Town ", and the COUNTY OF EAGLE, hereinafter referred to
as the "County ".
W I T N E S S E T H:
I. That Avon does hereby lease to the County the
following described property situated in Avon, County of Eagle,
State of Colorado, to be used for County purposes, viz:
II. Approximately 400 square feet of office space (the
exact amount to be determined on the basis of final drawings,
but not less than 350 square feet) to be used by the Eagle
County Nursing Service in the building known as the Avon Town
Hall building for a term of one year, commencing on a date to be
agreed upon by the parties, but in the absence of any other
agreement, the term shall begin the lst day of July, 1984, and
end the 30th day of June, 1985, renewable for four succeeding
one -year terms, upon notification of the intention to renew not
more than 180 days nor less than thirty days prior to the end of
the existing term and the end of each extended one -year term.
III. And the County agrees to pay as rent for the said
premises the sum of Fourteen Dollars and Sixty Cents ($14.60)
per square foot per year (based on $12.60 per square foot for
debt service and $2.00 for utilities), payable in four quarterly
installments, in advance, on the lst day of the month in which
the lease commences and the first day of each third month
thereafter. Upon renewal, the rental may be modified to pass on
to the County any increased cost of utilities. The County
further agrees to make a lump sum payment of the full cost of
remodeling the space into a room suitable for the Eagle County
Nursing Service, in accordance with plans approved by the
County. Said lump sum payment which the County agrees to make
shall in no case exceed the full cost of remodeling or the sum
of fourteen thousand nine hundred seventy -four dollars and no
cents ($14,974.00), whichever is the lesser.
IV. The County covenants with Avon that, at the
expiration of the term of this Lease, the County will yield up
the premises to Avon without further notice in as good condition
as the same were entered upon by the County, loss by ordinary
wear and tear excepted; Avon shall provide heat, water,
electric, sewer and janatorial services and the County shall pay
telephone service. The County shall be solely responsible for
all property owned by it in the leased premises, and the Town
shall have no responsibility therefor. The County is solely
responsible for the security of all County -owned property in the
leased premises and the Town accepts no responsibility for

damage to such property. All risks in connection with the use
of the leased premises shall be risks of the County.
V. The County agrees to indemnify and save the Town,
its agents and employees harmless from any and all liability,
claims, damages or injuries to any person, including injury to
the County, or any of its employees, representatives, agents,
guests, licensees, invitees, patrons or any other person
whomsoever, and all expenses of investigating and defending
against same: (1) arising from or alleged to have arisen from
or connected with the use of or operations on the leased
premises or (2) caused or claimed to be caused by the
independent acts of the County, its agents or employees, or the
concurrent acts of the Town or its agents or employees.
VI. The Town agrees to indemnify and save the County,
its agents and employees harmless from any and all liability,
claims, damages or injuries to any person, including injury to
the town, or any of its employees, representatives, agents,
guests, licensees, invitees, patrons or any other person
whomsoever occurring during the construction of improvements
prior to occupancy by the County, and all expenses of
investigating and defending against same: (1) arising from or
alleged to have arisen from or connected with the use of or
operations on the leased premises or (2) caused or claimed to be

caused by the independent acts of the Town, its agents or
employees.
VII. The County shall have access to the premises only
during hours when the building within which the premises are
located is open to the public, unless other arrangements are
made for access at other times acceptable to the Town. In no
event shall the County conduct business with the general public
except during hours when the entire building is open to the
general public.
VIII. The County shall permit Avon to have free access
to the premises hereby leased for the purpose of examining or
exhibiting the same, or to make needful repairs or alterations
of such premises, which Avon may see fit to make.
IX. Either party may terminate this Lease with or
without cause upon ninety days' notice in writing to the other
party. In the event the County is required to vacate the
premises because of termination by the Town prior to the
expiration of the primary term and the four extended one -year
terms, the County shall be reimbursed $250.00 for each month of
the fourth and fifth years of the extended terms during which
the County is denied use of the improvements installed by it,
being a maximum of $6,000 for the two -year period.
X. It is expressly understood and agreed by and
between the parties hereto that in case said premises are

destroyed or damaged by fire, so as to remain untenable during
the term of this Lease, no rent shall accrue from the date of

I'm enclosing four copies of a revised intergovermental
lease for the space occupied by the County Health Nurse.
Note in paragraph III near the end where the "not to
exceed" price has been inserted. There are no other
changes, from the lease as submitted by the Town in
May, that I'm aware of.
Please review and if acceptable return a couple of signed
copies to my attention for our file.

SUBJECT: Nurses Space in Town Hall
Please find attached a letter from Brad Jones, Eagle County
Administrator, concerning the Nurses Space in the Town Hall.
Brad has expressed some concerns in regards to the cost of the
construction of the offices for the County Nurse. The total cost for
design and construction is estimated at $14,974. Brad is requesting
that given this amount that a couple of changes be addressed in the
contract.
1) The contract for the space be extended from the original
three years to five years.
Given that the agreement can be terminated with 90 days
written notice, I see no problems in going with a three
year lease with an additional annual renewal for two more
years.
2) County retrieve some of the initial construction cost if the
contract is cancelled prior to the five year term.
The only area of concern I have with this change is that the
Town may have to remodel the area again for its future use.
In particular, the sink that is installed in the examining
room. Perhaps terms to the effect of a minimum refund such
as $2,994.80, ($14,974 - 5 = $2,994.80). Each additional
year the same amount would be applied less any remodeling cost
to the Town which would probably be minimal for removing the
sink.
The other option is to give a straight credit of $2,994.80 per
year for any length of time prior to the five year period.
I prefer this option.
3) The last item Brad addressed was that the County be held
harmless through the negligence or accident of the contractor
or contractors on site for that specific project.
I do not have any problems with this change and indeed the
space will be completed probably around June 1.
RECOMMENDED ACTION:
Authorize the Town Attorney to amend the agreement with Eagle County
for office space as follows:
1) Renewable terms for an additional two years.
2) Allow for a straight credit of $2,994.80 per year if the
contract is cancelled prior to five year lease.
3) Add a hold harmless clause for the construction period.

Dear Bill:
This letter formerly acknowledges action recently taken by the
Board of County Commissioners to approve the design and construction
costs for the remodeling of the space within the Town of Avon's
Municipal Building for the County Nurse office. The total design
and cost, as presented in your letter of April 20th, of $14,974.00
was agreed upon by the Board of County Commissioners. However, due
to the higher than expected cost of remodeling of that space, the
Commissioners would like to request that the Town Council consider
extending the contract for five years rather than the initial three.
By doing this the higher than anticipated cost could be spread across
two additional years. We would still want to leave in the clause
that the contract could be terminated. In addition, I would like to
suggest that if the contract were terminated prior to that five year
time, the County might he able to retrieve some of that initial cost.
One other item the County Commissioners would like to have included
in the contract prior to their singing would_be the fact that during
this construction period the County would in fact be held harmless
on any occurrences that might happen through the negligence or
accident of the contractor or contractors on site for that specific
space for the County Nurse.. Other than that we find the contract, as
presented by you, fully acceptable.

I hope that this maximum cost of $14,974.00 might in fact be reduced
through cost savings or other things that might occur within the construction
process. However, we won't know the results of that for several months.

your continued help in developing this space for the County Nurse. A special
thanks also to Norm Wood for being very helpful in assisting with the
development of this project.

been recently prepared by our legal staff i'n the County. This
agreement incompasses those items that I had requested which
were simplicity and a short duration lease that might be re-
newable -for a specified number of times. I would call to your
attention the fact that this lease is originally written on a
year to year basis, subject to two additional renewal periods;
that this agreement is cancelable with a ninety day notice from
either party;: and it also indicates that the Town of Avon will.l.

Please find attached the Lease Agreement between the Town of Avon and
Eagle County for space in the Municipal Building for the County Nurse.
The County originally drafted the agreement. I have made some minor
modifications such as:

I reviewed these changes with Brad Jones, County Administrator, and
he agreed with the Agreement.
Recommended Action:

($14.60) per square foot per year (based on $12.60 per
square foot for debt service and $2.00 for utilities),
payable in four quarterly installments, in advance, on the
lst day of the month in which the lease commences and the
first day of each third month thereafter. Upon renewal, the
rental may be modified to pass on to the County any
increased cost of utilities. The County further agrees to
make a lump sum payment of the full cost of remodeling the
space into a room suitable for the Eagle County Nursing
Service, in accordance -with plans approved by the County.
The County covenants with Avon that, at the
expiration of the term of this lease, the County will yield
up the premises to Avon without further notice in as good
condition as the same were entered upon by the County, loss
by ordinary wear and tear excepted; Avon shall provide heat,
water, electric, sewer and janatorial services and the
County shall pay telephone service. The County shall be
solev responsible for all property owned by it in the leased
premises, and the Town shall have no responsibility
therefor. The County is solely responsible for the security
of all County -owned property in the leased premises and the
Town accepts no responsibility for damage to such property.
All risks in connection with the use of the leased premises
shall be risks of the County.
The County agrees to indemnify and save the Town,
its agents and employees harmless from any and all
liability, claims, damages or injuries to any person,
including injury to the County, or any of its employees,

representatives, agents, guests, licensees, invitees,
patrons or any other person whomsoever, and all expenses of
investigating and defending against same: (1) arising from
or alleged to have arisen from or connected with the use of
or operations on the leased premises or (2) caused or
claimed to be caused by the independent acts of the County,
its agents or employees, or the concurrent acts of the Town
or its agents or employees.
The County shall have access to the premises only
during hours when the building within which the premises are
located is open to the public, unless other arrangements are
made for access at other times acceptable to the Town. In
no event shall the County conduct business with the general
public except during hours when the entire building is open
to the general public.
The County shall permit Avon to have free access
to the premises hereby leased for the purpose of examining
or exhibiting the same, or to make needful repairs or
alterations of such premises, which Avon may see fit to
make.
Either party may terminate this Lease with or
without cause upon ninety days' notice in writing to the
other party.
It is expressly understood and agreed by and
between the parties hereto that in case said premises are
destroyed or damaged by fire, so as to remain untenable
during the term of this Lease, no rent shall accrue from the

date of such destruction until the same are again ready for
occupancy.

RE: Available Space for Public Health in Avon
Dear Dick:
As you are no doubt aware, the County is removing their Public
Health Service from the Vail Valley Medical Center. The Vail
Center has a very urgent need for additional space. The Board
of County Commissioners have agreed with this need and will be
moving from that location shortly.
The County has met with the Eagle Valley School District and they
have generously provided a space in the Eagle -Vail school building.
The availability of this space is for a very short time, likely
through the spring of 1984.
With the above background, I now want to explain the reason for
this request to you and the Town of Avon.
The desire to seek an easily accessahle location for residents
of the upper valley has brought us to Avon. Due to the central
location between Red Cliff /Minturn and Edwards /Wolcott, the trip
to Avon would be very easy to accomplish.
Is there space available now or in the near future in the Town
office complex for the Public Health function? If so, would you
consider leasing to the County a space for this public service?
I have not gone into the more explicit details that we can discuss
if space is available. I will assure you that the County does not
want the Town of Avon to incur unnecessary expenses nor expect this.
We are looking for space and reaching agreement by negotiation for
use of this space.

The term of lease can also be established by you. We don't expect the
lease to be a long term (many years) agreement.
I hope a favorable response to this inquiry can be made. If you would
