DRONE PERMIT AGREEMENT
TOWN OF AVON, COLORADO
THIS DRONE PERMIT AGREEMENT (“Agreement”) is made on June 23, 2025, by and among the Town of Avon, a
Colorado home rule municipal corporation (“Avon”) and Art Digital Media, LLC (“Permittee”).
RECITALS
A. The Permittee desires a permit from Avon for drone use in and around the Town of Avon. The purpose will be to
capture video footage of an event.
B. The Permittee has represented to the Town that it owns the drone and plans to operate the drone on June 23,
2025, between the hours of 11:00 a.m. and 2:00 p.m.
Therefore, based on the foregoing recitals which are incorporated in this Agreement as though set forth in full, and in
consideration of the mutual promises and undertakings hereinafter set forth and for valuable consideration, receipt of
which is hereby acknowledged, the parties agree as follows:
TERMS OF AGREEMENT:
1. Recitals. The Recitals are incorporated herein and are material terms of this Agreement.
2. Temporary Use Permit for Aircraft Operation. In accordance with Avon Municipal Code Section 7.24.080 the
Town hereby approves a temporary use for drone use subject to all terms and conditions of this Agreement
(“Temporary Use Permit”).
3. Cooperation. The Permittee and all its employees, agents and representatives shall cooperate with the Town
authorities and personnel and do all things reasonably required by the Town to ensure compliance with all rules
and regulations of the Town and applicable agencies.
4. Town Monitoring. The Permittee agrees that the Town, through the Town Manager and Police Chief, shall have
the authority to monitor the Permittee operations to ensure conditions of this Agreement are fully met. The
Permittee agrees that the Town may revoke this Agreement or close the operation at any time it is determined in
the Town’s sole discretion that the public health, safety of welfare is in jeopardy.
5. Hold Harmless and Indemnification. The Permittee agrees to indemnify and hold harmless the Town and its
agents, employees, representatives, insurers and attorneys from any and all costs, expenses, claims, demands,
obligations, liabilities, damages, lawsuits and judgments, including without limitation, attorneys’ fees (collectively
“Claims”), connected in any way or arising in any way from or related to the planning, staging, or operation of the
Permittee related in any way whatsoever to this drone permit.
6. Liability Insurance. The Permittee shall furnish the Town with a certificate of insurance bearing evidence of
liability insurance for the Permittee with limits of liability of at least two million dollars ($2,000,000) naming the
Town of Avon, its agents, employees, representatives, insurers and attorneys as additional insured. Such
insurance shall provide at least thirty (30) days’ notice of cancellation to the Town. Disapproval of the policy by
the Town or cancellation shall result in immediate cessation of the Permittee operations for this event if similar
insurance is not obtained within 24 hours from such disapproval or cancellation.

7. FAA Certification. The Temporary Use Permit granted herein is specifically conditioned on the requirement that
the pilot of the drone has a Remote Pilot License issued by the Federal Aviation Administration and that all other
required certifications are current.
8. Cost of Retrieval. Permittee agrees that it shall be solely responsible for the cost of retrieval of its property.
9. No Waiver of Governmental Immunity: Nothing in this Agreement shall be construed to waive, limit, or
otherwise modify any governmental immunity that may be available by law to the Town, its officials, employees,
contractors, or agents, or any other person acting on behalf of the Town and, in particular, governmental
immunity afforded or available pursuant to the Colorado Governmental Immunity Act, Title 24, Article 10, Part 1
of the Colorado Revised Statutes.
10. Miscellaneous Provisions.
a. This Agreement is the entire agreement between the parties with respect to the subject matter hereof and
supersedes all prior agreements between them with respect to hereto.
b. This Agreement and the Temporary Use Permit contained herein may not be assigned or transferred and
any attempt to assign or transfer this Agreement shall be void.
c. This Agreement shall be construed in accordance with the laws of the State of Colorado and venue for any
dispute shall be in Eagle County, Colorado.
d. Each signatory agrees that s/he has full authority and consent to sign this Agreement.
e. This Agreement may be executed in several counterparts and all so executed shall constitute on Agreement,
binding on all parties hereto even though all the parties are not signatories to the original or the same
counterpart.
