SUBDIVISION IMPROVEMENTS AGREEMENT
THIS SATISFACTION AND RELEASE OF SUBDIVISION IMPROVEMENTS
AGREEMENT (this "Release") is executed by the TOWN OF AVON, a Colorado municipality, by
and through its Council (the "Town') as of >�'c/ , %" , 2020 (the "Effective Date").
RECITALS
A. Buffalo Ridge Affordable Housing Corporation, a Colorado nonprofit corporation
and Buffalo Ridge II LLLP, a Colorado limited liability limited partnership (together, "Subdivider")
and the Town entered into that certain Subdivision Improvements Agreement, recorded in the official
real property records of Eagle County, Colorado (the "Official Records") on May 28, 2002 at
Reception No. 796832, as amended by the Town of Avon Resolution recorded in the Official
Records on May 28, 2002 at Reception No. 796834, and as further amended by the Town of Avon
Resolution recorded in the Official Records on February 6, 2003 at Reception No. 822852
(collectively, the "Agreement").
B. The obligations of Subdivider under the Agreement have been completed and
satisfied in full.
C. The Town desires to release any and all rights and obligations held by the Subdivider
in connection with the Agreement, as well as permit the release of the Agreement from the Official
Records.
NOW THEREFORE, the Town hereby states as follows:
1. Recitals. Each of the above recitals are hereby incorporated into this Release as if set
forth in the body hereof.
2. Termination and Release. The Town hereby states that each and every right and
obligation of Subdivider under the Agreement has been satisfied in full. As of the Effective Date, the
Agreement is immediately and forever terminated and released in all respects, and the Town, nor any
other party, shall have any past, present, or future rights, obligations, or claims with respect to the
Agreement. Further, the Town acknowledges the Agreement shall be immediately released from the
Official Records. Subdivider and the Town shall both have the right to record this Release with the
Clerk and Recorder of Eagle County, Colorado.
